9. DISPUTE RESOLUTION AND JURISDICTION

Disputes will be resolved through a two-step Alternate Dispute Resolution (“ADR”) process:

a) Mediation: Parties will try to resolve disputes amicably. If unresolved within thirty (30) days, the dispute will proceed to arbitration.

b) Arbitration: If mediation fails, disputes will be referred to a sole arbitrator appointed by Truwell. The arbitration will be conducted in English, with the seat in Ghaziabad, Uttar Pradesh, India. Each party will bear its own costs unless otherwise directed by the arbitrator.
